Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("You") and Claynosaurz Inc. ("Claynosaurz", "Company", "We", "Us", or "Our") governing your access to and use of the Claynosaurz Champions mobile game, including all related applications, features, content, digital assets, embedded digital wallets, virtual currency, virtual items, and any services offered within or in connection with the mobile application (collectively, the "Mobile Game").

Your use of the Mobile Game is conditioned on your full acceptance of these Terms. If you do not accept them, you must stop using the Mobile Game and uninstall it immediately. The Mobile Game may not be used where prohibited by law. Your use of the Mobile Game is also subject to the Claynosaurz Privacy Policy at claynosaurz.games/privacy.

Overview and Modifications

We reserve the right to update, modify, or replace any portion of these Terms at any time. Any changes become effective immediately upon being made available through the Mobile Game or otherwise communicated to you, and they apply to all continued access to and use of the Mobile Game. You agree to review these Terms periodically to stay informed of any modifications. Your continued use of the Mobile Game after any changes have been implemented constitutes your acceptance of the updated Terms.

The Mobile Game, including any of its features, content, or availability, may be changed, suspended, or terminated at any time, in our sole discretion and without prior notice. You acknowledge and agree that we shall not be liable if all or any part of the Mobile Game becomes unavailable at any time or for any duration.

Eligibility and Account Registration

You must be at least thirteen (13) years old, or such other minimum age as may apply in your country or state of residence, to use the Mobile Game. If you are under eighteen (18) years old, you may use the Mobile Game only if your parent or legal guardian has reviewed and accepted these Terms on your behalf. Parents and legal guardians are responsible for the use of the Mobile Game by their minors.

To access the Mobile Game, you must create an account using your own valid email address. However, if you are under eighteen (18), you will also be required to provide the email address of your parent or legal guardian so that we may confirm their consent and involvement.

We may take reasonable steps to verify parental consent and to assess the digital maturity of users under eighteen (18). These steps may include requesting additional information from the minor and/or their legal guardian in order to confirm identity, verify consent, or determine whether access to certain features is appropriate.

If you are under eighteen (18), you acknowledge that these verification and consent procedures apply specifically to you and that continued access to the Mobile Game may depend on successfully completing them. These measures are implemented to comply with evolving international standards governing the protection of minors online, including requirements related to age verification and age-appropriate design under frameworks such as the EU Digital Services Act (DSA) and similar regulations.

We do not knowingly collect personal information from children under 13 without verifiable parental consent.

Embedded Wallets

Upon creating an account, an embedded wallet is automatically generated through a third-party provider Dynamic.xyz. This embedded wallet is tied to the email address used to register your Mobile Game account, or, for minors, to the email of their parent or legal guardian. Neither Claynosaurz nor Dynamic.xyz controls or has access to the private keys associated with the embedded wallet. Loss of access to the registered email address will result in permanent loss of access to the wallet and any assets stored within it. Claynosaurz cannot recover or restore an embedded wallet or its contents.

The Company does not offer custodial wallet services and does not custody, safeguard, or manage digital assets or private keys on behalf of any user. All wallets used in connection with the Mobile Game are non-custodial, and users bear full responsibility for maintaining access and security.

On-Chain Assets

Embedded Wallet enables the user to receive, store, and use on-chain assets such as playable characters, cosmetic items, or other Game-related content (“Game Assets”). These Game Assets exist solely within the Game ecosystem, do not represent any form of financial instrument or investment, have no monetary value, and cannot be sold, exchanged, or redeemed for any real-world currency or assets. Game Assets cannot be transferred to External Wallets or traded on third-party marketplaces outside the Game.

Peer-to-Peer Marketplace

The Game may include an in-game, peer-to-peer (P2P) marketplace that allows players to exchange Game Assets with other players. Such exchanges occur exclusively in exchange for in-game currency and remain confined to the Game environment. In-game currency is not real money, has no cash equivalent, and cannot be withdrawn, transferred, or exchanged for fiat currency or cryptocurrency outside the Game.

Claynosaurz reserves the right to monitor, suspend, or restrict marketplace activity to maintain fair play, prevent fraud, or comply with legal obligations.

Virtual Currency & Virtual Items

The Mobile Game may allow you to purchase, using real-world money, a limited, personal, revocable, non-transferable and non-sublicensable license to access and use: (i) in-game virtual currency (“Virtual Currency”); and (ii) in-game virtual items, assets, or enhancements (“Virtual Items”). Virtual Currency and Virtual Items are licensed, not sold, and may only be obtained through the Mobile Game or through authorized partners.

Unless expressly permitted within the Mobile Game, Virtual Currency and Virtual Items may be used solely within the Mobile Game to obtain access to certain features, cosmetic items, or gameplay benefits. They are provided strictly as a limited license and do not represent any real-world monetary value. They cannot be redeemed for cash, cash equivalents, cryptocurrency, or any item of monetary value, nor do they grant you any right, title, or ownership interest. Your rights to Virtual Currency and Virtual Items are limited to the right to use them within the Mobile Game under these Terms.

You acknowledge and agree that Virtual Currency and Virtual Items have no cash value and may not, under any circumstances, be exchanged for real currency, goods, services, or anything of monetary worth. If your account is suspended, terminated, altered, or otherwise disabled for any reason, you will lose all access to any Virtual Currency or Virtual Items associated with your account, and no refund or compensation will be provided.

We may charge fees for the right to obtain or use Virtual Currency or Virtual Items, and we may also choose to distribute them without charge—for example, as part of promotions, events, or gameplay rewards. You understand and agree that we may modify, regulate, adjust, devalue, or eliminate any Virtual Currency or Virtual Items at any time, with or without notice, and that such actions may affect the perceived value or utility of those items. You agree that we have no liability to you for any such modifications.

We retain the sole and absolute right to manage, control, revise, suspend, or discontinue Virtual Currency or Virtual Items as we deem appropriate. Virtual Currency and Virtual Items may be lost, removed, deleted, or forfeited if your account is terminated, suspended, or closed, or if the Mobile Game is modified or discontinued.

Unless expressly authorized in the Mobile Game, the sale, transfer, exchange, gifting, or trading of Virtual Currency or Virtual Items—whether inside or outside the Mobile Game—is strictly prohibited. You may not sell, redeem, or otherwise transfer Virtual Currency or Virtual Items to any other person, including other users or third parties.

However, certain designated in-game assets (“Game Assets”) may be exchanged between users exclusively through the peer-to-peer marketplace made available within the Mobile Game. Any such exchange must occur solely within the Mobile Game, using only the features provided by the Company, and remains subject to all rules, limitations, and monitoring procedures established by the Company. Game Assets may not be exchanged, sold, or transferred outside the authorized in-game marketplace.

All purchases and redemptions of Virtual Currency and Virtual Items made through the Mobile Game are final and non-refundable, except where required by applicable law. You agree to pay all charges and applicable taxes incurred by you or by anyone using your account. We may change the pricing, availability, or functionality of Virtual Currency or Virtual Items at any time. You acknowledge that we are not required to provide a refund or compensation for unused Virtual Currency or Virtual Items, even if your account is closed voluntarily or involuntarily.

External Wallets

If support for External Wallets is introduced, users may be allowed to connect an External (Non-Custodial) Wallet to their Account for specific in-game uses, subject to the Game’s compatibility and technical requirements. By connecting an External Wallet, the user authorizes Claynosaurz and its affiliates to interface with that wallet solely to facilitate Transactions initiated by the user within the Game.

Users are solely responsible for the maintenance and security of their External Wallets, including safeguarding any passwords, seed phrases, and private keys. Claynosaurz and Dynamic cannot assist in recovering lost credentials or restoring wallet access and bear no liability for any resulting losses. Additionally, any NFTs or currency mistakenly transferred to unsupported wallets or incompatible networks may be irretrievably lost, and Claynosaurz shall not be held responsible for such occurrences.

Subscriptions, Payments, Free Trials, and In-App Purchases

Some features of the Mobile Game may be available only through paid subscription plans. Subscriptions renew automatically at the end of each billing cycle unless canceled. Billing and subscription management are handled by the application marketplace from which you downloaded the Mobile Game, such as the Apple App Store or Google Play Store. Their terms and refund policies apply to all payment disputes and refund requests.

Free trials may be offered at our discretion. If you enter billing information when signing up for a free trial, you will not be charged until the trial period ends. At the end of the trial, unless you cancel, your subscription will convert to a paid plan.

All in-app purchases are final, non-transferable, and non-refundable except where the applicable marketplace requires otherwise. If a purchased item fails to download or does not function, we will investigate and, if necessary, provide a replacement or authorize a refund through the application marketplace.

By purchasing digital content that is delivered immediately, you acknowledge that you lose your EU right of withdrawal once the download or use begins.

User Conduct and Prohibited Activities

You agree to use the Mobile Game only for lawful purposes and in accordance with these Terms. You must not engage in any activity that disrupts, interferes with, or harms the proper functioning of the Mobile Game, its servers, networks, systems, or other players’ experience.

Without limiting the generality of the foregoing, you agree that you will not:

1. Cheat, exploit bugs, manipulate game systems or the in-game marketplace, or otherwise attempt to gain an unfair advantage.
2. Use bots, scripts, macros, automation tools, artificial means, or any other third-party software or device to collect, “farm,” generate, or obtain assets, rewards, information, or gameplay benefits.
3. Intercept, examine, probe, or otherwise observe any proprietary communications protocol, network traffic, or data transmission used by the Mobile Game, including through packet sniffers, analyzers, debuggers, or similar tools.
4. Use, develop, distribute, or employ any unauthorized third-party software designed to modify, extract, read, or collect information from the Mobile Game, including data about accounts, characters, inventories, Game Assets, Virtual Items, or other players.
5. Attempt to reverse engineer, decompile, disassemble, translate, adapt, or otherwise access the source code or underlying structure of the Mobile Game.
6. Access or attempt to access any account other than your own, or bypass, remove, deactivate, or impair any security or technological protection measures.
7. Attempt to obtain information, data, or content from the Mobile Game by any method not expressly authorized by the Company.
8. Engage in any behavior that Claynosaurz determines, in its sole discretion, constitutes cheating, misuse, exploitation, or an unfair advantage over the normal rules and gameplay intended for users.

Claynosaurz may suspend, restrict, or terminate your account, or take any other action it deems appropriate, if it believes you have violated these Terms or engaged in any unauthorized, harmful, or suspicious activity.

User-Generated Content

Certain features of the Mobile Game may allow you to create, upload, or transmit content (“User-Generated Content”). By submitting such content, you grant Claynosaurz an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, display, distribute, and otherwise exploit the content within the Mobile Game and in connection with its operation. You represent and warrant that you own all rights in your content and that it does not infringe upon the rights of others.

Claynosaurz may remove or restrict access to any User-Generated Content at its discretion.

Intellectual Property

All content within the Mobile Game, including but not limited to characters, artwork, animations, story elements, code, sound effects, music, gameplay systems, and Game Assets, is owned exclusively by Claynosaurz or its licensors. You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the Mobile Game solely for personal, non-commercial entertainment.

You may not reproduce, distribute, create derivative works, publicly display, or otherwise exploit any part of the Mobile Game unless expressly permitted by Claynosaurz in writing.

All intellectual property rights in, to, and relating to Clayno NFTs are retained by Claynosaurz in accordance with our intellectual property policy accessible here: https://claynosaurz.com/ip-policy.

Account Suspension and Termination

Claynosaurz may suspend, limit, or terminate your access to the Mobile Game at any time, with or without notice, if we believe you have violated these Terms, engaged in unlawful activity, or interfered with the Mobile Game’s operation or community. Upon termination, you will lose access to your account and any associated virtual currency, virtual items, Game Assets, or progression. No refunds will be granted except where required by law.

You may terminate your use of the Mobile Game at any time by uninstalling or discontinuing use of the Mobile Game.

Third-Party Services

The Mobile Game may contain links or integrations with third-party services. These services are not controlled by Claynosaurz, and we are not responsible for their content, practices, or availability. Your interactions with third-party services are governed by their own terms and policies.

Privacy

Your use of the Mobile Game is subject to our Privacy Policy, which describes how we collect, use, share, and protect personal information. Please review the Privacy Policy carefully.

Claynosaurz Inc. acts as the data controller for personal data processed in connection with your use of the Mobile Game.

Disclaimer of Warranties

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE MOBILE GAME IS AT YOUR OWN RISK. THE MOBILE GAME IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NEITHER CLAYNOSAURZ NOR ITS AFFILIATES WARRANT THAT THE MOBILE GAME WILL BE ACCURATE, RELIABLE, ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT DEFECTS WILL BE CORRECTED OR THAT THE MOBILE GAME OR THE SERVERS THAT SUPPORT IT ARE FREE FROM VIRUSES OR OTHER MALICIOUS TECHNOLOGIES. YOU ARE RESPONSIBLE FOR SECURING YOUR DEVICES, DATA, AND INTERNET CONNECTION. WE DO NOT GUARANTEE THAT FILES OR DATA AVAILABLE FOR DOWNLOAD THROUGH THE MOBILE GAME WILL BE FREE OF MALWARE OR OTHER HARMFUL CODE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAYNOSAURZ AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, BUSINESS INTERRUPTION, EMOTIONAL DISTRESS, OR PERSONAL INJURY ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE MOBILE GAME. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including for death or personal injury resulting from negligence or for statutory consumer rights under EU law.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Claynosaurz, its affiliates, directors, officers, employees, agents, service providers, licensors, and successors from any claims, damages, liabilities, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Mobile Game, or your User-Generated Content.

Governing Law and Choice of Forum

These Terms are governed by and shall be interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to any choice of law or conflict of law rules. Any legal action or proceeding arising from or relating to the Mobile Game or these Terms shall be brought exclusively before the courts of the Province of Ontario or the Federal Court of Canada. You irrevocably submit to the jurisdiction of these courts and waive any objection regarding venue or forum.

If you reside in the European Union, you may bring legal proceedings related to these Terms in your country of residence.

Force Majeure

Claynosaurz shall have no liability for any failure or delay in performance resulting from conditions or events beyond its reasonable control, including natural disasters, war, strikes, accidents, failure of telecommunications or internet services, or any other force majeure event.

Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waivers

No failure or delay by Claynosaurz in exercising any right or remedy under these Terms shall be construed as a waiver of that right or remedy, nor shall any single or partial exercise of a right prevent further exercise of that right or any other right or remedy.

Entire Agreement

These Terms constitute the entire agreement between you and Claynosaurz regarding your use of the Mobile Game and supersede all prior agreements, understandings, or representations, whether written or oral, relating to the subject matter.
